These Terms of Service (“Terms”) govern your use of the Inteloci website (inteloci.com) and services (“Services”) operated by Inteloci (“we,” “us,” “our”). By accessing or using our Services, you agree to be bound by these Terms.

1. Description of Services

Inteloci provides data-driven location viability assessments for commercial real estate. Our Services include:

• Free Competitor Scans: Basic competitor count and demographic snapshot for any U.S. address.
• Paid Location Assessments: Scored feasibility reports with demographic analysis, competitive landscape, financial projections, and lease guidance.
• Startup Guides: Business archetype-specific reference documents covering permits, buildout, hiring, marketing, and operations.
• Monitoring Subscriptions: Periodic re-assessments and change alerts for established locations.

2. Important Disclaimers

Not Professional Advice

Our assessments are informational tools, not professional advice. Inteloci reports do not constitute financial, legal, investment, real estate, accounting, or business advice. You should consult qualified professionals (attorneys, accountants, commercial real estate brokers, business advisors) before making any business or investment decisions.

Data Accuracy

Our assessments combine data from public sources (U.S. Census Bureau, Bureau of Labor Statistics, Walk Score, Google Places, OpenStreetMap, RentCast, and others) with industry benchmarks. While we make reasonable efforts to ensure accuracy:

• Public data sources may contain errors, lag behind current conditions, or have incomplete coverage. Census data is based on 5-year estimates. Economic indicators may be months old. Competitor data from mapping services undercounts actual businesses.
• Financial projections are modeled estimates, not predictions. Our free cash flow projections are based on industry benchmarks and market-share models. Actual business performance depends on execution, timing, management, market conditions, and factors we cannot measure.
• Scoring is based on a weighted model that has not been empirically validated. Our composite score reflects relative location quality based on available data. A high score does not guarantee business success; a low score does not guarantee failure.
• Commercial rent estimates are approximations. Actual transacted lease rates are not publicly available. We use automated valuation models and comparable listings as proxies. Actual rent will be determined by your lease negotiation.

Every data point in our reports is tagged with a source attribution:

No Guarantees

We do not guarantee the accuracy, completeness, or reliability of any information in our reports. We do not guarantee that any business opened at an assessed location will succeed. We do not guarantee the availability of any specific data source at the time of your assessment.

3. Account Registration

To purchase paid assessments, you may need to provide your email address and payment information. You are responsible for:

• Providing accurate and complete information.
• Maintaining the security of your account credentials.
• All activity that occurs under your account.

4. Payments and Refunds

Pricing

• Prices for our Services are listed on inteloci.com and are subject to change.
• All prices are in U.S. dollars.
• Payment is processed by Stripe. By making a purchase, you also agree to Stripe's terms of service.

Refund Policy

• Assessments: If our assessment pipeline fails to generate a report for your address (due to data unavailability or system error), you will receive a full refund within 5 business days.
• Completed assessments: Because our reports are generated instantly from live data, we do not offer refunds on completed assessments. If you believe a report contains material errors, contact us at [email protected] and we will investigate and re-run the assessment if warranted.
• Startup Guides: Non-refundable once delivered, as they are standard reference documents.
• Monitoring Subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds for partial billing periods.
• Broker Packs: Individual unused assessments within a broker pack may be exchanged for assessments at different addresses. No cash refunds for partially used packs.

Failed Payments

If a payment fails, the assessment will not be generated. You will not be charged for failed transactions.

5. Intellectual Property

Our Content

All content generated by Inteloci — including report formats, scoring methodologies, archetype configurations, website design, and branding — is our intellectual property and protected by copyright.

Your Rights to Reports

When you purchase an assessment or guide, you receive a non-exclusive, non-transferable license to:

• Use the report for your own business planning and decision-making.
• Share the report with your business partners, investors, lenders, and professional advisors.
• Include the report in SBA loan applications or business plan submissions.

You may not:

• Resell our reports or redistribute them commercially.
• Remove or alter source attributions, disclaimers, or branding from reports.
• Use our scoring methodology or report structure to create a competing service.

Broker Pack Usage

Brokers who purchase a 5-pack license may share individual reports with their prospective tenants as part of their leasing services. Each assessment in a broker pack is licensed for a single property address.

6. Acceptable Use

You agree not to:

• Use our Services for any unlawful purpose.
• Submit false or misleading information in assessment inputs.
• Attempt to reverse-engineer our scoring algorithms, data pipeline, or assessment methodology.
• Interfere with or disrupt the Services or servers.
• Scrape, crawl, or programmatically extract data from our website without written permission.
• Use automated tools to submit bulk assessment requests without a broker pack or enterprise agreement.
• Misrepresent our reports as your own analysis or as professional advice.

7. Third-Party Services

Our Services integrate with third-party data providers and services. Your use of our Services may be subject to the terms and privacy policies of:

• Stripe (payment processing): stripe.com/legal
• Google (Places API): cloud.google.com/terms
• Supabase (data hosting): supabase.com/terms

We are not responsible for the availability, accuracy, or practices of third-party services.

8. Limitation of Liability

To the maximum extent permitted by law:

• Inteloci's total liability for any claim arising from or related to the Services shall not exceed the amount you paid to Inteloci in the 12 months preceding the claim.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, business opportunities, or data, regardless of whether we were advised of the possibility of such damages.
• We are not liable for any business decisions you make based on our reports, including decisions to sign leases, invest capital, hire employees, or open or close businesses.
• We are not liable for errors or omissions in third-party data sources that we aggregate and present in our reports.

9. Indemnification

You agree to indemnify and hold harmless Inteloci and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

10. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated by:

• Posting updated Terms on this page with a new effective date.
• Email notification to registered users for significant changes.

Your continued use of the Services after modifications are posted constitutes acceptance of the updated Terms.

11. Termination

We may suspend or terminate your access to the Services at any time if you violate these Terms, without prior notice or liability. Upon termination:

• Your right to access the Services ceases immediately.
• We may retain your data as described in our Privacy Policy.
• Sections 2 (Disclaimers), 8 (Limitation of Liability), and 9 (Indemnification) survive termination.

12. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, USA, without regard to conflict of law provisions. Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Cumberland County, Pennsylvania.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Inteloci regarding the Services.
